1. Acceptance of Terms

These Terms of Use govern your access to and use of the ReceiptNudge mobile application and the receiptnudge.app website (together, the “Service”). The Service is operated by Aura Bionics Inc., an Ontario, Canada corporation (“we,” “us,” or “our”).

By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not install or use the Service.

2. The Service

ReceiptNudge is an iOS application that captures, parses, and indexes paper receipts on your device. The Service surfaces estimated return windows, warranty deadlines, and possible post-purchase price drops based on the data you provide and per-retailer heuristics.

Information shown by the Service, including return windows, warranty periods, retailer policies, market prices, and possible savings, is an estimate provided for informational purposes only. Return policies, warranty terms, refund eligibility, and price-match programs vary by retailer, region, country, item category, item condition, and time. We do not guarantee accuracy, completeness, eligibility, or applicability of any retailer policy or price-match opportunity. You are responsible for confirming current retailer policies directly with the retailer before acting on Service output.

Some features, including Price Drop Alerts and periodic market-price checks, are available only for supported retailers and may vary by country. Where coverage is not available, those features may not surface alerts even for items you have chosen to track. Coverage may expand or contract without notice.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's permission and they must accept these Terms on your behalf.

4. Subscriptions and Billing

Some Service features require a paid subscription. Subscriptions are processed by Apple through your Apple ID using the price displayed in your local App Store storefront. Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date through your Apple ID settings.

Refunds are governed by Apple App Store policy. We do not process refunds directly.

Free-trial eligibility, if offered, is governed by Apple App Store rules and is granted at Apple's discretion.

5. Your Content

“Your Content” means receipts, photos, OCR text, tags, notes, and any other data you input or capture in the Service. Your Content is stored on your device. You retain all rights to Your Content.

You grant us a limited, royalty-free license to process Your Content only to the extent strictly required to provide the Service to you (for example, running on-device OCR or computing deadlines). We do not claim ownership of Your Content.

7. Third-Party Retailers

ReceiptNudge is not affiliated with, endorsed by, or sponsored by any retailer named in the Service or in user-captured receipts. Trade names and trademarks are the property of their respective owners and appear only for the purpose of referring to specific retailers when calculating return or price-match windows.

8. AI and Automated Output

The Service uses automated processing, including Apple Vision on-device OCR and AI-style summarization, to interpret receipts. Output, including summaries, categorization, and possible savings calculations, is generated automatically and may contain errors. Always verify before relying on output for a return, warranty claim, or price-match request.

9. Intellectual Property

The Service, including its software, design, branding, copy, and content (other than Your Content), is owned by Aura Bionics Inc. or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service.

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not warrant that any retailer will honor a return, warranty claim, or price-match request based on Service output.

11. Limitation of Liability

To the maximum extent permitted by law, Aura Bionics Inc. and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Service.

Our aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of (i) the amount you paid us for the Service in the 12 months preceding the claim, or (ii) twenty Canadian dollars (CAD 20).

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service at any time by deleting it from your device.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will update the “Last Updated” date above and, where appropriate, notify you in the app. Your continued use of the Service after the effective date constitutes acceptance of the changes.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws rules. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising out of these Terms, except where mandatory consumer-protection laws of your jurisdiction grant you additional rights.
